Terms of Service

These Terms of Service govern access to and use of the websites, software, reporting services, integrations, and related services provided by Kanopi Software Inc. and its affiliates (collectively, "Kanopi", "we", "our", or "us"). By using our website or services, you agree to these terms.

Services

Kanopi provides analytics and reporting software for retail and ecommerce businesses. Customers may connect business systems such as commerce, marketing, advertising, analytics, inventory, finance, and communication platforms so Kanopi can generate reporting summaries, evidence-backed analysis, and operational recommendations.

Kanopi's Google Ads integration is used for read-only reporting after customer authorization. Kanopi may retrieve campaign performance metrics such as spend, clicks, impressions, conversions, conversion value, CTR, CPC, and ROAS. Kanopi does not create, edit, pause, remove, or manage Google Ads campaigns, ad groups, ads, keywords, billing, users, or account settings.

Customer Authorization and Account Access

You are responsible for ensuring that you have the authority to connect business systems, share data, and authorize Kanopi to access third-party accounts. You may revoke third-party access through the applicable third-party service where that service supports revocation.

You are responsible for maintaining the confidentiality of account credentials and for all activity under accounts you control. Do not share passwords, private keys, OAuth tokens, developer tokens, or other secrets with Kanopi through email, chat, or public channels unless Kanopi has provided an approved secure transfer method.

Customer Data

As between you and Kanopi, you retain ownership of the business data you provide or authorize Kanopi to access. You grant Kanopi permission to process that data as necessary to provide, secure, maintain, improve, and support the services.

Kanopi may create aggregated or anonymized data that does not identify you, your customers, or your business, and may use that data for analytics, benchmarking, service improvement, and related business purposes.

Acceptable Use

You agree not to misuse the services or use them to:

• violate applicable laws, third-party rights, or third-party platform terms;
• attempt to gain unauthorized access to systems, data, credentials, or accounts;
• interfere with the security, integrity, availability, or performance of the services;
• upload or transmit malicious code, harmful content, or unlawful data;
• reverse engineer, scrape, or copy the services except where permitted by law or by written agreement.

Third-Party Services

Kanopi may interoperate with third-party services such as Shopify, Google Ads, Google Analytics, Klaviyo, Meta, Slack, Microsoft Teams, and other platforms. Third-party services are governed by their own terms and privacy policies. Kanopi is not responsible for third-party services, their availability, or their handling of data outside Kanopi-controlled systems.

Reporting and Recommendations

Kanopi provides analytical outputs for business decision support. Reports, forecasts, simulations, and recommendations are not financial, legal, tax, accounting, advertising, or professional advice. You remain responsible for business decisions, ad account changes, budgets, customer communications, and operational actions.

Fees and Paid Services

Some services may be provided under a separate order form, statement of work, subscription agreement, or other written agreement. Fees, payment terms, renewal terms, and cancellation rights for paid services will be described in that agreement.

Intellectual Property

Kanopi and its licensors own the services, software, designs, documentation, models, workflows, codebooks, templates, trademarks, and related intellectual property. Except for rights expressly granted to you, Kanopi reserves all rights in the services.

Privacy

Kanopi's handling of personal information is described in the Privacy Policy. By using the services, you acknowledge that Kanopi may process personal information as described there.

Service Changes and Availability

Kanopi may modify, suspend, or discontinue parts of the services from time to time. We aim to maintain reliable service, but the services may be unavailable during maintenance, outages, third-party service interruptions, or events outside our control.

Disclaimer

The services are provided on an "as is" and "as available" basis to the maximum extent permitted by law. Kanopi disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, uninterrupted operation, and error-free operation.

Limitation of Liability

To the maximum extent permitted by law, Kanopi will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost goodwill, or business interruption arising from or related to the services.

Termination

You may stop using the services at any time. Kanopi may suspend or terminate access if you violate these terms, create security or legal risk, fail to pay amounts owed, or use the services in a way that could harm Kanopi, customers, third-party platforms, or other users.

Changes to These Terms

Kanopi may update these terms from time to time. Updated terms become effective when posted unless a later effective date is stated. Continued use of the services after updated terms are posted means you accept the updated terms.
